Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User" or "Customer") and Accureta Technologies Ltd ("Accureta", "we", "us"). These Terms govern your access to and use of the Accureta web application, API, and related services (collectively, the "Service").

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and all references to "you" include that organisation.

Accureta is an AI-powered accounting and financial management platform designed for small and medium-sized businesses. The Service provides:

• Automated import and categorisation of bank transactions
• Double-entry bookkeeping and journal management
• Financial reporting including profit & loss, balance sheet, and cash flow statements
• Document storage for invoices, receipts, and bank statements
• Collaboration tools to connect businesses with accountants
• AI-assisted financial insights and anomaly detection

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such modifications.

To use Accureta, you must register for an account by providing accurate, complete, and current information. You agree to:

• Maintain the confidentiality of your password and access credentials
• Immediately notify us of any unauthorised access to your account
• Be responsible for all activity that occurs under your account
• Not share your account credentials with unauthorised persons
• Not create accounts for the purpose of abuse, spam, or circumventing restrictions

Accureta is not liable for any loss arising from unauthorised use of your account where such use results from your failure to maintain adequate security of your credentials.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

• Upload, transmit, or process any data that violates applicable laws or infringes any third-party rights
• Attempt to gain unauthorised access to any part of the Service or to other users' data
• Use the Service to commit fraud, money laundering, or any financial crime
• Introduce malicious code, viruses, or disruptive technologies into the platform
• Systematically extract data from the Service through scraping, crawling, or automated means without written consent
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or sublicense access to the Service without our written permission
• Use the Service in any way that could damage, disable, or impair its performance

Violation of this section may result in immediate suspension or termination of your account, and we reserve the right to report unlawful activity to the relevant authorities.

Accureta provides tools to help you manage and understand your financial data. The Service is not a substitute for professional accounting, tax, or legal advice.

• AI-generated categorisations and financial summaries are provided for informational purposes only and may not be accurate in all cases.
• You are solely responsible for verifying the accuracy of your financial records before using them for tax filings, regulatory submissions, or business decisions.
• Accureta is not licensed as an accountant, auditor, tax adviser, or financial adviser in any jurisdiction.
• Any accountant who accesses your Accureta workspace is an independent professional — Accureta is not responsible for their advice or services.

You should consult a qualified Nigerian certified accountant (ICAN/ANAN) or tax professional for compliance with FIRS regulations, VAT obligations, and statutory reporting requirements.

Accureta offers a 14-day free trial with access to full platform features. No payment information is required to start a trial.

• At the end of the trial period, you may choose to subscribe to a paid plan or downgrade to a limited free tier (if available).
• Subscription fees are billed in advance on a monthly or annual basis.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
• We do not provide refunds for partial-month usage, except where required by applicable law.
• If a payment fails, we will notify you and provide a grace period of 7 days before restricting access.

Pricing information is available on our website and is subject to change with 30 days' prior notice to existing subscribers.

Our intellectual property

The Accureta platform, including software, algorithms, AI models, design, logos, and documentation, is owned by Accureta Technologies Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our express written permission.

Your data

You retain full ownership of all data you upload to the Service, including financial records, documents, and business information. By using the Service, you grant Accureta a limited, non-exclusive licence to process your data solely to provide and improve the Service.

We will not use your specific, identifiable financial data to train AI models without your explicit consent. We may use aggregated, anonymised data derived from all users to improve categorisation accuracy and platform performance.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

To the maximum extent permitted by applicable law, Accureta and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, consequential, special, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Financial losses arising from inaccurate AI categorisations or reports
• Damages resulting from unauthorised access to your account
• Service interruptions, downtime, or data loss beyond our reasonable control

Our total aggregate liability for any claim under these Terms shall not exceed the total fees paid by you to Accureta in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Accureta Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms
• Your breach of any applicable law or regulation
• Data you submit to the Service that infringes any third-party rights
• Any claims made by your employees, clients, or counterparties arising from your use of Accureta

Termination by you

You may close your account at any time from within the platform settings. Upon closure, you will lose access to the Service and your data will be scheduled for deletion in accordance with our data retention policy.

Termination by Accureta

We may suspend or terminate your account immediately without notice if:

• You materially breach these Terms
• We are required to do so by law or court order
• We reasonably suspect fraudulent or illegal activity
• Your account payment is more than 30 days overdue (after the grace period)

Upon termination for any reason, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, liability, and indemnification) shall survive.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from any competent court.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or in-app notification at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
